Moore & Van Allen Announces Seven New Members

The Moore & Van Allen Management Committee has elected the following seven attorneys as Firm Members:  Evan M. Bass, John C. Gilson, Joshua D. Lanning, Renee D. K. Miller, Nicholas D. Naum, Charles (Trey) R. Rayburn III, and Emily B. Reynolds. Their new designation went into effect on January 1.

New Members Evan M. Bass and Emily B. Reynolds belong to Moore & Van Allen’s Real Estate practice group. Bass works with investors, developers, lenders and major corporations on commercial real estate transactions for traditional real estate assets, including large mixed-used projects, shopping centers and residential communities. He handles various aspects of the transactions needed to acquire, finance and develop commercial property. Reynolds represents commercial clients in local and multi-state transactions. She focuses on all aspects of acquiring, financing, developing and selling commercial real estate of various types, including office buildings, industrial sites and mixed-use developments. Her practice also includes entity formation and tax planning.

New Members John C. Gilson and Nicholas D. Naum belong to Moore & Van Allen’s Financial Services practice group. Gilson practices in the areas of mezzanine finance, private equity and venture capital. He represents banks, institutional investors, hedge funds, business development and small business investment companies (SBICs), private equity groups, venture capital funds and sponsors in buy-out, investment and finance transactions. Naum represents arrangers, agents and lenders in connection with senior secured and unsecured credit facilities, first lien/second lien financings and mezzanine financings. He has related experience in transactions involving acquisition financing, asset based lending and debt restructurings. Naum has also represented corporate clients in connection with lending facilities and related transactions.

New Members Josh D. Lanning and Renee D. K. Miller belong to Moore & Van Allen’s Litigation practice group. Lanning’s background includes commercial disputes and substantial tort claims, with an emphasis on wrongful death, medical malpractice and claims against state and local government officials. He has managed internal investigations for clients, including Fortune 500 companies and local government bodies, and has represented clients in state and federal courts in North Carolina and throughout the nation. Miller is currently on special assignment to the Mecklenburg County District Attorney’s office, and will recommence her commercial litigation practice with the Firm on February 16. She has represented companies in arbitration, mediation and state and federal court in disputes concerning class action securities and mortgage fraud, unfair commercial practices, breach of fiduciary duties, commercial real estate, equipment leasing, and misappropriation of trade secrets. She also represents clients in internal and external investigations involving state and federal authorities, and has assisted public utilities in litigation and investigations by regulatory agencies.

New Member Charles (Trey) R. Rayburn belongs to Moore & Van Allen’s Bankruptcy practice group. He represents national and regional financial institutions in connection with workout transactions and large corporate bankruptcies. His clients include creditors at various levels of a distressed company’s capital structure, including senior secured lenders, second-lien lenders, subordinated lenders and unsecured creditors. He represents administrative agents and collateral agents for syndicated credit facilities in workouts and bankruptcies, has represented equipment lessors and landlords, negotiated intercreditor agreements, and provides related counsel.
