Today’s economy thrives on making Intellectual Property work.  Moore & Van Allen’s intellectual property transactional team is made up of business lawyers with extensive experience in the different intellectual property disciplines, who help our clients leverage the value of their Intellectual Property.

Transactional and Other Transactions
Our attorneys are deeply involved in transactions of all types that have either technology or Intellectual Property as a significant component.  We assist our clients in traditional IP transactions such as license agreements and joint development agreements.  But, we are also heavily involved in other, non-traditional transactions such as outsourcing, joint marketing, sports and entertainment sponsorship, manufacturing, co-branding, technology transfer and strategic alliance arrangements.

E Commerce and IT Transactions
Our attorneys have extensive experience in all types of arrangements attendant to doing business on the Internet, including content development, linking, terms of use, software license, website development and management and web application development agreements.  We are also deeply involved in assisting our clients with their internal IT issues, including development of policies relating to IT resources as well as negotiating enterprise software, hardware purchase, maintenance, IT development and like arrangements of all types.

Financial Transactions
Moore & Van Allen’s IP Transactional team also works closely with other lawyers at Moore & Van Allen to bring special value to private equity, venture capital, credit facility and other, primarily financial, transactions that nonetheless have technology or intellectual property considerations.  No other law firm can provide this unique combination of capabilities.

Business
The firm advises emerging companies in high technology and biotechnology areas with a particular focus on research and development issues and manufacturing concerns.  We counsel companies on venture capital and other risk financing programs; assist in the formation of corporations, limited liability companies, general and limited partnerships and joint ventures; negotiated and draft all types of commercial and business contracts; and provides professional services relating to initial and secondary public offerings of equity and debt under the Securities Act of 1933.
