She assists both financial and strategic acquirers and targets in their mergers and acquisitions, leveraged buyouts and recapitalization transactions.
Representative Matters
- Represented private equity fund in leveraged recapitalization of southeastern seafood distributor with 2006 revenues of $75 million. Built on success of initial transaction through purchase of additional southeastern seafood distributor. Ongoing representation of operating company and its management team.
- Represented commercial finance company with respect to $57 million equity and debt investment in third party logistics company providing labor services to warehouses and distribution centers.
- Structured and prepared documentation for $21 million, third-round equity and debt capital raise for construction equipment manufacturer and dealer.
