Jared Poplin has significant experience representing individuals, small businesses, and large companies on a broad range of corporate matters and transactions. Having served as outside general counsel for numerous companies, Jared is familiar with the issues that confront businesses on a daily basis. Jared’s practical and client-focused approach makes him a trusted partner for clients as they navigate daily challenges and pursue future opportunities.

Overview

Jared’s practice encompasses a wide range of corporate transactional matters, including merger and acquisition transactions, corporate reorganizations, and corporate finance transactions. He has extensive experience in the formation, structuring, and governance of privately held business entities, and drafting and negotiating commercial contracts. Jared also routinely advises on Uniform Commercial Code matters involved in secured lending transactions. Jared is a member of the firm's Legal Opinion Committee and has particular experience in legal opinion matters. 

He represents entrepreneurs, healthcare providers, ESOP-owned companies, financial institutions, portfolio companies, energy companies, lenders, developers and tax-equity investors in energy financing projects, and mid-market businesses in sectors ranging from athletic apparel to electronics recycling.

  • Represented the subsidiary of a non-U.S. public company in multiple acquisitions of convenience stores totaling over $100 million
  • Represented management team of a leading North American provider of domestic and marine chassis in connection with the company’s $2.5 billion sale to an investment management company
  • Represented a multinational consumer packaging company in the sale of its worldwide cosmetics, home, and personal care businesses to affiliates of a private equity firm for approximately $459 million
  • Represented a provider of ITAD (information technology asset disposition) in connection with its sale of equity to a private equity investor
  • Represented a long-term acute care hospital company in a leveraged transaction involving the sale of equity to an Employee Stock Ownership Plan (ESOP)
  • Represented a financial institution in multiple sale-leaseback transactions involving solar projects
  • Represented a leading provider of employee engagement solutions in its acquisition of a recruitment solutions provider
