Carol Bowen is an experienced and responsive health care partner whose clients value her knowledge and practical approach to help them achieve their business goals within the complex health law framework. She represents health care providers, private equity and institutional investors and lenders, and other companies in the health care industry for both transactional and regulatory matters. 

Overview

Carol represents a broad range of health care providers and other stakeholders in the health care industry. Her provider clients include health care systems, large medical groups, ambulatory surgery centers, behavioral health providers, and other service providers for both transactions and regulatory compliance, and operational matters. Her experience includes both in house and outside general counsel positions. Her work includes joint ventures among large physician groups, hospitals, and other sophisticated health care providers, acquisitions, divestitures and financings, and regulatory compliance. Carol uses both her transactional and regulatory compliance background to advise her clients on structuring strategic alignments between providers and others.

Carol’s regulatory representation includes:
  • Federal fraud and abuse laws, Stark laws, and similar state law issues
  • HIPAA compliance and healthcare data privacy and security breach response
  • Licensing and credentialing
  • Compliance plans and document retention plans
  • Medicare, Medicaid, and third-party payor reimbursement, contracting, and value-based payment arrangements
  • Clinical research issues, including negotiation and drafting of clinical trial agreements for hospitals, physician groups, clinical research organizations

Representative Services

  • Transactional Matters:
    • Represented Allergy Partners, the largest U.S. group of single-specialty allergy and asthma practices in its transaction with Waypoint Capital. Allergy Partners operates 62 practice hubs, with135 physicians across 20 states
    • Represented the sellers of an ophthalmology practice and affiliated surgery center in connection with the acquisition by Atlantic Vision Partners, a portfolio company of Sheridan Capital Partners
    • Represented sellers of multiple radiation oncology centers in a sale to a large Southeastern health system
    • Represented a private equity funded urgent care business in connection with negotiation of a clinical affiliation agreement and formation of a joint venture with a large New England health system to own and operate urgent care centers
    • Represented an ENT practice in connection with the sale of its assets to Southern Ear, Nose, Throat and Allergy Physicians, an ENT and allergy management services organization backed by Shore Capital Partners
    • Represented sellers in connection with the sale of majority interest of a multi-specialty surgery center joint venture to a private equity funded buyer
    • Represented a buyer of North Carolina-based applied behavior analysis providers
    • Represented MedCath Corporation over a 25-year period including the structuring and development of dozens of partnerships with physician investors in general acute care and heart hospitals, cardiac catheterization labs and other related services followed by the individual sales of each of those facilities to many of the leading for-profit and non-profit healthcare systems across the country such as HCA, Tenet, and Banner Health
  • Regulatory matters:
    • Represent specialty physician practices throughout the Southeast for regulatory, compliance and operational matters
    • Represent health systems and ambulatory surgery centers in connection with medical staff, regulatory, governance, electronic medical record, licensure, and related matters
    • Represent an ABA provider for regulatory compliance and operational matters
