James Forrest serves as legal counsel to many companies, providing advice regularly to corporate executives concerning various corporate legal matters. Mr. Forrest has extensive experience in mergers, acquisitions, company divestitures, transactional due diligence, company formation, and the drafting and negotiation of purchase agreements, operating agreements, shareholders’ agreements, employment agreements, consulting agreements, loan agreements, confidentiality agreements and strategic arrangements.
In addition to his corporate practice, Mr. Forrest also practices in the area of commercial real estate, assisting companies with property sales and acquisitions, and various leasing matters.
Representative Matters
- Represented a pharmacy automation client in connection with the acquisition of a competing division of a Fortune 15 company
- Negotiated a multi-million dollar maintenance agreement with one of the largest health care organizations in the country
- Represented a large, non-profit client in the acquisition and development of a large parcel of commercial real property in the Research Triangle Park area
- General counsel to international company providing technology services to pharmaceutical and biotechnology companies
- Represented a client with respect to the divestiture of its assisted living facilities
- Initiated and developed processes to address procurement, customer and vendor related legal needs with multiple clients
