DeLaney Published in Corporate Board Member
Charlotte Corporate Member Mike DeLaney authored an article published in the First Quarter 2011 edition of Corporate Board Member magazine. The article, “Addressing Employee and Director Hedging Transactions Under Dodd-Frank,” details a corporate governance component of the Dodd-Frank Wall Street Reform and Consumer Protection Act that is often overlooked. The Act requires public companies to disclose their policies regarding employee/director hedging of the company’s equity securities.
“As the SEC intends to propose implementing rules by the middle of 2011, companies would be well advised to begin considering their hedging policies and their potential disclosure obligations now to allow time for proper consideration and policy revisions prior to the implementation of the disclosure rules for the 2012 proxy season,” DeLaney stated.
