Colby Jenkins leads the firm’s Investment Management group and has more than 15 years of experience as funds counsel, advising on structuring, documenting, offering, and operating of U.S. and offshore investment funds. He regularly counsels domestic and foreign clients on U.S. federal and state investment adviser regulatory considerations.

Overview

Colby’s practice encompasses a wide range of investment management matters in connection with both sponsor- and LP-representations. He has extensive experience with the regulatory and contractual elements of closed-end, open-end, and hybrid private fund structures.

His clients include established and first-time fund sponsors and institutional, family office, and individual investors focused on a wide variety of investment sectors, ranging from traditional private equity investments to public market investments to investments in emerging alternative asset classes such as agriculture and litigation claims.

  • Advised on the structuring, formation, and marketing of a credit fund targeting investments in structured real estate debt, corporate debt, and tactical credit
  • Advised on the structuring, formation, marketing, and ongoing compliance requirements of a Delaware feeder fund formed as a series limited liability company to facilitate investment in multiple underlying private equity master funds
  • Advised on the structuring, formation, marketing, and ongoing compliance requirements of parallel Delaware and Cayman Islands funds of funds targeting investment in multiple underlying private equity master funds
  • Advised on the structuring, formation, marketing, and ongoing compliance requirements of parallel Delaware and Cayman Islands funds of funds targeting investment in multiple underlying hedge fund master funds
  • Advised on the structuring and formation of a private equity fund targeting investments in railcars
  • Advised on the structuring and formation of a private equity fund targeting investment opportunities in maritime shipping vessels
  • Advised on the structuring and offering of a private equity fund targeting secondary acquisitions of a portfolio of private equity fund interests
