Joanne Wu represents banks, financial institutions, and corporate entities in restructuring and corporate bankruptcy matters. Joanne also has experience representing financial institutions in secured and unsecured lending transactions, including single-lender and syndicated credit facilities.


Joanne’s practice encompasses a wide range of matters, including out-of-court debt restructuring and corporate workouts, in-court bankruptcy representation, and mergers and acquisitions transactions involving troubled companies. She has represented clients in a broad array of industries, including retail, restaurant, hospitality, technology, agriculture, and pharmaceuticals in both domestic and cross-border transactions.

Joanne routinely represents creditors and financial institutions in the restructuring of troubled credits, and regularly advises clients in asset-based lending, including on matters involving the analysis and enhancement of collateral packages over time. She also has experience documenting loan workout agreements, such as amendments, forbearance agreements, and master restructuring agreements.

Joanne graduated from the University of North Carolina School of Law, where she served as articles and notes editor for the North Carolina Banking Institute Journal. While in law school, Joanne also completed an externship with the U.S. Securities and Exchange Commission, in which she conducted legal research and drafted memoranda on securities law issues concerning private equity funds, business development companies, and conflicts of interest arising from wrap fee advisory accounts and mutual fund share classes. 

Representative Experience

Representative Out-of-Court Restructuring Matters

  • Represented an administrative agent in connection with the restructuring of a $750 million syndicated credit facility to a multi-national customer management outsourcing company. Representation includes documentation of multiple amendments to the underlying credit facility and analysis of collateral issues and enhancements
  • Represented a lender in connection with the master restructuring of an $11 million loan exposure to a large regional restaurant operator and affiliates. Representation included restructuring loan documentation for cross-collateralization of real and personal property collateral to secure various existing and new obligations
  • Represented Farm Credit System lending institution in connection with restructuring of credit facilities totaling $35 million to farmer-owned cooperative association. Representation included analyzing the client’s collateral package, providing recommendations regarding perfection and maintenance of first-priority liens, and documenting various agreements
  • Represented a lender in connection with the workout of a $37 million construction financing for the development of student housing

Representative Bankruptcy Matters

  • In re SD-Charlotte, LLC. Chapter 11 debtor-side representation of a large franchise restaurant operator.  Representation included assisting in the preparation of various motions, court appearances, and successful sale of 73 Sonic Drive-In Restaurants and 14 MOD Pizza Restaurants in the midst of the COVID-19 pandemic
  • In re K&W Cafeterias, Inc. Chapter 11 lender-side representation in the bankruptcy case of a large restaurant operator in connection with $11 million prepetition financing facility. Representation includes negotiation of cash collateral order and appearances in various court hearings
