William Leister represents banks, direct lenders, financial institutions, private equity sponsors, and corporate clients in connection with the structuring, negotiation and documentation of a wide variety of credit finance transactions.

Overview

William’s experience includes representing his clients on acquisition-related financings, leveraged recapitalizations, cross-border financings, asset-based facilities, working capital facilities, subscription facilities and various specialty fund finance transactions. His experience spans across industries, with transactions ranging in size from several million dollars to several billion dollars.

William represents banks, direct lenders, and financial institutions in various roles, including as left lead arranger, administrative agent and lender in a broad range of investment-grade and middle market corporate and commercial lending transactions.

He also represents private equity sponsors and corporate clients in connection with various credit finance transactions.

Representative Experience

  • Represented left lead arranger and administrative agent in connection with a $2 billion multi-currency revolving credit facility to Flex, Ltd. that includes a feature directly linking interest payments and fee amounts to certain environmental, social and governance (ESG) metrics, including greenhouse gas emissions and workplace safety
  • Represented domestic private equity firm and its Luxembourg parallel vehicle in connection with a $200 million subscription based revolving credit facility
  • Represented direct lender in connection with an investment in a closely-held data and software solution company comprised of a $75 million delayed draw term loan facility, royalty interest, and related issuance of warrants for the purchase of capital stock
  • Represented private equity sponsor in connection with a $42.5 million term loan facility and a $2.5 million revolving credit facility, the proceeds of which were used, in part, to finance the acquisition of a data technology company
  • Represented left lead arranger and administrative agent in connection with a $20.6 million term loan facility, a $10 million development line of credit and a $15 million revolving credit facility to a closely-held quick service restaurant company franchisee

  • Represented sole lender in connection with a subscription based revolving credit facility to an institutional venture capital firm

  • Represented direct lender in connection with an investment in a closely-held specialty pharmaceutical company comprised of a $50 million delayed draw term loan facility and related issuance of warrants for the purchase common stock
  • Represented direct lender in connection with the refinancing of a $70 million delayed draw term loan facility to a medical device company and certain of its subsidiaries organized in the United States, Canada and Israel, into a subordinated convertible note in connection with the closing of a Main Street Lending Program credit facility
  • Represented direct lender in connection with the partial pay-down and debt-for-equity exchange of a $35 million term loan facility to a healthcare diagnostics company

  • Represented domestic private equity firm and its Australian feeder fund in connection with a $55 million subscription based revolving credit facility
  • Represented asset manager of a private equity firm in connection with a $40 million management company revolving credit facility
  • Represented private equity sponsor in connection with a $26 million delayed draw term loan facility and a $4 million revolving credit facility, the proceeds of which were used, in part, to finance the acquisition of a digital advocacy company
  • Represented private equity sponsor in connection with a $15 million term loan facility and an $8 million revolving credit facility, the proceeds of which were used, in part, to finance the acquisition of a healthcare patient engagement company
  • Represented a domestic private equity firm, its Cayman Islands feeder fund and its United Kingdom parallel vehicle in connection with a $20 million subscription based revolving credit facility
  • Represented general partner in connection with a $3.5 million general partner commitment delayed draw term loan facility
