Moore & Van Allen’s Private Equity Team has a national practice representing private equity funds, business development companies, hedge funds, mezzanine funds, family offices, platform businesses and portfolio companies, and institutional investors through the entire life cycle of their investments and transactions, including leveraged buy-outs, mergers and acquisitions, private equity growth investments, mezzanine investments and senior debt loans. For over ten consecutive years, our Private Equity Team has represented clients in completing transactions exceeding $750 million in invested capital each year.

Private Equity – Sponsor Representation

We represent private equity sponsors in Charlotte, Boston, Washington, D.C., Dallas, Birmingham, Houston, Chicago, New York City, San Francisco, Nashville, Connecticut, and elsewhere across the Carolinas. We have consistently ranked among the top twenty U.S. law firms measured by number of closed private equity transactions.  Our Private Equity Team possesses a keen understanding of the U.S. private equity markets from the perspective of buyers and sellers. Our private equity sponsor clients rely on us to provide sophisticated, innovative solutions to all aspects of their investment transactions. We work closely with each client to understand the business to be acquired and efficiently structure the transaction from tax and corporate perspectives to accomplish the desired allocation of risk between the parties and to meet the needs of any transaction timeline.

Our Private Equity Team, Investment Team and Investment Management Team assist our independent and fundless sponsor clients with the full spectrum of investment management (fund formation) and transaction advisory services.  We understand the nuances which distinguish independent and fundless sponsor transactions and funds from their traditional private equity counterparts.  Our attorneys have represented a diverse range of independent and fundless sponsor clients ranging from comingled funds, blind pools, pledge funds and family offices to high-net-worth individuals and boutique first-time fund managers.  Also, our representation of institutional and bank lenders in their independent and fundless sponsor-led leveraged buyouts of companies offers a unique perspective to these transactions.  Whether our attorneys represent an independent or fundless sponsor, a mezzanine or other institutional fund, or a traditional private equity fund, Moore & Van Allen has the requisite market knowledge and experience to provide experienced-based and savvy counsel to our sponsor clients in this ever evolving transaction space.

Mezzanine Finance and Senior Debt Lending

Our Investment Team also represents mezzanine finance and senior lending clients in Houston, Washington, D.C., Chicago, San Francisco, New York City, Los Angeles, Nashville, Connecticut and the Carolinas. We represent several of the largest U.S. lenders, including Bank of America and Wells Fargo. Our Investment Team’s extensive experience in the debt capital arena enables us to provide valuable insight and perspective to our lending clients in all areas of finance transactions, including current market trends in pricing as well as subordination and intercreditor terms.

Platform and Portfolio Company Representation

We regularly assist our private equity clients with the representation of their platform businesses and portfolio companies.  Our investment in understanding each client’s business and needs, coupled with our efficient, cost-effective structure as a Charlotte-headquartered practice, enables us to offer superior, focused service at an appropriate pricing level for platform businesses operating in a growth environment.  We understand that the success of our clients’ investments depend not just on successful deal execution, but our ability to deliver timely, accurate legal advice across the spectrum of legal issues that arise for operating companies, including as relates to corporate finance, intellectual property, tax, employee matters and benefit plans, real estate and environmental issues.

    The COVID-19 pandemic is having a ripple effect across private financial markets.  2019 and the opening of 2020 set records for fundraising for private equity firms, and the market for investment in, and acquisition of, private companies.  Many founder-owned companies which, not 3 weeks ago, were within less than a month of closing a deal have been informed by their prospective acquirers that their transactions are “on hold”.  Others no longer have a deal, as investment committees and management teams re-evaluate purchase price, financial covenants and their responsibilities to existing portfolio companies and limited partners.
