The attorneys in the Structured Finance Group have served as counsel to issuers, sponsors, underwriters, sellers, servicers, financial guarantors, institutional purchasers, and trustees in connection with numerous transactions involving asset-backed securities, commercial paper, warehouse/repurchase facilities, mortgage-backed securities, whole loan trading, mortgage servicing, and mortgage conduit lending.

The group’s experience includes both public and private sale of securities secured by a wide variety of asset classes including equipment leases, residential mortgage loans, auto loans, business loans, healthcare receivables, billboard assets, chassis, containers, and credit card receivables.  In addition to its term experience, the group also has extensive experience in representing commercial paper conduits.

  • Representation of commercial paper conduit in a $250,000,000 co-purchased ABCP transaction involving equipment leases and loans.
  • Representation of an underwriter in a $100,000,000, a $200,000,000, a $240,000,000 and a $287,000,000 public offering of equipment lease backed notes.
  • Representation of private equity investors in a $550,000,000 CDO securitization and term private placement.
  • Representation of a commercial paper conduit in a $425,000,000 co-purchased transaction involving business loans.
  • Representation of commercial paper conduits in various ABCP transactions aggregating over $500,000,000 backed by business loans originated or acquired by start-up commercial finance companies.
