Ryan Hart focuses his practice on capital markets transactions, U.S. securities laws, corporate governance, mergers and acquisitions, domestic and cross-border joint ventures, and general corporate matters.

Overview

Ryan advises public companies and their boards on a wide range of matters falling under the U.S. securities laws and state corporate law, including SEC compliance and disclosure, exchange regulations, corporate governance and ESG matters. He has substantial experience in advising the boards of closely held public companies, including those with dual-class structures or significant ownership concentrated within a family or controlling stockholder group.

He also has represented issuers, investors and investment banks in a wide range of public and private securities offerings, including public and private offerings of investment grade and high yield debt, commercial paper programs, PIPE offerings, convertible notes and debt and equity liability management transactions.

In addition to his work advising public companies, Ryan works with private equity firms and alternative asset managers in connection with the full spectrum of their activities, with a focus on the aviation industry. These include asset finance lending facilities, mergers and acquisitions, joint venture and control investments, cross-border transactions and general corporate advice.

Prior to joining the firm, Ryan practiced at Cravath, Swaine & Moore LLP in New York City.
