Keith Smith is a trusted advisor who leads with integrity and a deep commitment to the client’s mission. With over 22 years of experience as in-house counsel in the healthcare sector, Keith has developed skills in a comprehensive array of legal services aspects for large, complex organizations.
Keith is a member of Moore & Van Allen's Health Care team. Keith has deep experience in corporate governance, federal and state regulatory matters, mergers and acquisitions and a broad background advising support teams. He has built and integrated high-performing teams across legal, corporate compliance, audit services, privacy, enterprise risk management and corporate risk management and insurance programs.
Keith's experience includes:
Strategic Transactions and Corporate Governance:
- Developed joint operating company structure to facilitate growth initiatives
- Managed acquisitions of acute care hospitals, behavioral health hospitals, ambulatory surgery centers and physician practices
- Negotiated hospital management agreements, strategic affiliations, joint ventures and other combinations
Complex, High-Stakes Litigation and Government Investigations:
- Successfully fought government antitrust litigation on an issue of first impression and obtained a settlement with no penalty or admission of liability
- Oversaw multiple federal and state government investigations and inquiries (FBI, OIG, US DOJ, FTC, NC Attorney General)
- Handled multiple qui tam cases
Healthcare Regulatory and Operations:
- Advised on federal and state healthcare laws and regulations, including Stark, Anti-Kickback and False Claims Act
- Served as counsel for medical staff executive, credentials and hospital ethics committees and formed system-wide credentialing and medical executive committees
- Negotiated exclusive professional services agreements for anesthesiology, cardiac services, pathology and radiology
