MVA Advises as U.S. Counsel on €65 Million Bond Issuance and $35 Million Private Shelf Facility for Lario Reti Holding

MVA advised Lario Reti Holding as U.S. counsel in connection with a €65 million senior unsecured bond issuance and a related $35 million note purchase and private shelf facility with the private credit division of PGIM, the global investment manager and part of Prudential Financial. The financing was fully underwritten by PGIM and forms part of Lario Reti Holding’s long‑term investment and development strategy. The private shelf facility provides the issuer with flexibility to access additional capital over time, allowing for one or more future issuances within the agreed framework. The bonds have a maturity of approximately 18.5 years (September 2044) and carry a fixed, semi‑annual coupon. The notes are senior unsecured obligations and are not listed on any regulated market. The transaction reflects the continued use of private credit structures to support long‑dated infrastructure and utility‑related financings.

Deutsche Bank Italia, through its Trust Milan (Corporate Trust) team, acted as agent bank. 

Italian counsel led the transaction.
