Eugene Allison represents buyers, sellers, developers, landlords and tenants of commercial real estate. 

Overview

Eugene's experience enables him to evaluate each real estate transaction from a legal perspective and identify any problems that need to be resolved to avoid or mitigate risks. Working with commercial real estate of all sizes and types, he can craft the necessary documents to make each transaction move forward successfully. If a property's problems cannot be resolved, then making the client aware of the risks involved may prevent them from making a bad investment.

Eugene has worked as in-house counsel for a national retailer. He has also worked in private practice for both small and large firms on deals of all sizes including large portfolios that involve many properties. Prior to joining the firm, Eugene was previously with Katten Muchin Rosenman LLP. 

Representative Experience

Law Firms

Transactions: Represent clients with acquisition, development, financing, leasing, and disposition of commercial real estate properties. Draft, review and negotiate many types of documents, including contracts, leases, easements, covenants, restrictions, loan documents and many ancillary documents. Coordinate transactions from start to finish, representing sellers and buyers, landlords and tenants. Deal values range from small single-tenant properties and raw land deals to portfolios valued in excess of $100,000,000.

Real Estate Due Diligence: Extensive work, including review of title insurance, title documents, ALTA/NSPS surveys, leases, zoning and land use reports, environmental reports, lien search reports, and summaries and abstracts of same. Also supervised team of attorneys and paralegals who perform such work. Research and resolve difficult title issues, including errors and omissions in recorded documents. Develop and maintain tracker spreadsheets for multi-property deals.

Clients: Have included national and local developers and investors, and a national bank headquartered in Charlotte, NC.

In-House Corporate

Transactions: Negotiated and drafted leases for new store locations, lease amendments for existing stores, and contracts for the purchase of properties to be developed. The stores were located in rural, suburban and urban areas across the United States. Also prepared and negotiated related real estate documents, including subordination, non-disturbance and attornment agreements, easements, and estoppel certificates.

Dispute Resolution: Successfully resolved landlord/tenant disputes related to operational matters, including maintenance issues, TICAM pass-throughs, exclusive use rights and termination rights. Worked with outside counsel in litigation matters in state and federal courts, reviewed and revised pleadings related to such actions, and participated in mediation and settlement conferences.

Other Support: Assisted Senior Management on projects related to the construction of new distribution centers of up to 1,000,000 square feet in size, including negotiations with state and local government officials. Supported Construction, Store Operation and Lease Administration Departments. Developed and maintained standardized documents used by other attorneys and real estate field personnel.

Other Experiences

Engineer in Project Management Division of Design Engineering Department. Maintained network project schedule for $80,000,000 low level radioactive waste facility. Coordinated resolution of problems between Design, Construction and Operating Departments.
