Charles seeks to provide counsel and advice to these clients that are solution-oriented, that protect these clients’ interests and that advance their business goals while meeting applicable contractual, statutory and/or regulatory requirements.
Health Care Experience
Charles provides counsel on a wide range of regulatory, contractual and transactional matters involving health care systems, hospitals, physician practices, and other health care-related organizations. His practice includes advising clients on:
- Transactional matters, such as acquisitions, joint ventures, and contracts, for hospitals and hospital systems, physician practices and individual physicians
- Regulatory compliance, including Federal and state fraud and abuse laws, the Stark Law and EMTALA
- Medicare, Medicaid and third-party payer coverage and reimbursement issues
- Tax-exempt status issues
- Patient care and risk-management matters
- Medical Staff bylaws and related documents, policies and procedures, and controversies
Corporate Experience
- Drafting and negotiating purchase agreements, employment agreements, shareholder management agreements, operating agreements, commercial contracts, and advising clients on these and other transactional matters
- Organizing/incorporating limited liability companies and corporations
- Providing counsel to clients on a variety of corporate governance, corporate compliance, and other corporate law issues
