Charles Jordan practices in the area of health care and general business/corporate law. Practicing out of the Charleston office, Charles provides practical and responsive counsel to clients throughout the Southeast.


Charles seeks to provide counsel and advice to these clients that are solution-oriented, that protect these clients’ interests and that advance their business goals while meeting applicable contractual, statutory and/or regulatory requirements.

Health Care Experience

Charles provides counsel on a wide range of regulatory, contractual and transactional matters involving health care systems, hospitals, physician practices, medical billing companies, and other health care-related organizations. His practice includes advising clients on:

  • Transactional matters, such as acquisitions, joint ventures, and contracts, for hospitals and hospital systems, medical billing companies, physician practices and individual physicians
  • Regulatory compliance, including Federal and state fraud and abuse laws, the Stark Law and EMTALA
  • Medicare, Medicaid and third-party payer coverage and reimbursement issues
  • Tax-exempt status issues
  • Patient care and risk-management matters
  • Medical Staff bylaws and related documents, policies and procedures, and controversies

Corporate Experience

  • Drafting and negotiating purchase agreements, employment agreements, shareholder management agreements, operating agreements, commercial contracts, and advising clients on these and other transactional matters
  • Organizing/incorporating limited liability companies and corporations
  • Providing counsel to clients on a variety of corporate governance, corporate compliance, and other corporate law issues
