Stuart Armstrong advises clients on swaps, derivatives, commodity trading and commodity finance transactions. He leverages his insights formed as a federal regulator and extensive experience as in-house counsel to help clients navigate markets and solve complex regulatory and commercial challenges.

Overview

Stuart’s practice is dedicated to transactional and regulatory matters related to swaps and derivatives and physical commodities trading and hedging and structured finance transactions including commodity finance.

He represents clients in secured lending and complex finance structures involving precious metals, base metals and energy assets. His practice also extends to representing banks and other energy hedge providers in syndicated lending, acquisition-based and securitization hedging transactions.

He represents clients in commodity finance transactions including leases, repurchase transactions, consignments, intermediations, supply and offtake transactions and other forms of commodity financing.

Stuart has represented clients in transactional and regulatory matters across fixed income, commodities and capital markets products in domestic and international markets.

Before joining the private sector, Stuart served as Special Counsel at the U.S. Commodity Futures Trading Commission where he drafted and advised on the implementation and enforcement of regulations under the Dodd-Frank Act.

  • Financial institution as a secured commodity hedge provider in connection with a private issuer’s proved developed and producing asset-backed securitization collateralized by producing oil and gas assets in Oklahoma
  • Private fund in respect of establishing documentation for financial and physical precious metals trading
  • Financial institution in interest rate deal contingent hedge transactions
  • Renewable wind project in physical power and renewable energy credit offtake transactions
  • Natural gas-fired power project on commodity hedge provider agreements
  • Natural gas-fired power project on commodity hedge provider agreements
  • Trading affiliate of a financial institution in purchase, sale and commodity finance transactions in respect of copper, aluminum, steel and other base metals
  • Financial institution on regulatory permissibility and compliance requirements and documentation regarding physical commodity trading and financing activities
