Overview

Dionne Thomas represents clients in the areas of executive compensation and employee benefits, including creation and management of employment arrangements, equity-based incentive plans, and employee benefit programs. She regularly advises on compensation issues involved in mergers and acquisitions, including equity treatment, golden parachute matters and the interaction between existing and proposed compensation arrangements. 

Dionne works with public and private companies to navigate the complex regulatory landscape governing compensation and benefits. She assists in drafting and negotiating employment agreements, severance arrangements, and change-in-control provisions. She also assists public companies with the disclosure of compensation arrangements in public filings and advises on the impact of ISS and Glass Lewis in connection with compensation and corporate governance matters.
