Overview
Seth’s practice focuses on evaluating, structuring, and negotiating mergers and acquisitions, divestitures, leveraged buyouts, minority and control equity investments, carve-outs, cross-border transactions, and employee stock ownership plan (ESOP) transactions. He regularly represents privately held companies and their owners in strategic sales, ownership transitions, and complex transactions designed to maximize value and achieve business succession objectives.
Seth also has extensive experience representing and counseling privately held and emerging companies with drafting and negotiating commercial contracts, corporate governance, the formation and structure of business entities, incentive compensation, and other operational matters.

- Represented founders of large regional construction company in a restructuring and subsequent 100% sale to an employee stock ownership plan. Continued representing company in ongoing governance and ESOP compliance matters
- Represented founder of surveying, scanning, and GIS technologies company in a majority sale to an employee stock ownership plan. Continued representing company in ongoing governance and ESOP compliance matters
- Represented independent sponsor in series of acquisitions related to early childhood education
- Represented a private equity firm in the acquisition of a nationally recognized media and merchandising platform specializing in home goods
- Represented a company owning several behavioral health provider agencies in series of add-on acquisitions and in a subsequent sale to global investment management firm
- Represented a family office in a carve-out of a digital asset management software business from a publicly-owned, multinational computer technology corporation and in a subsequent sale to a privately held provider of software and hardware products
- Represented a search fund in the acquisition of a business engaged in supplying shrink-sleeved cans to craft beverage businesses across the beer, wine, spirits, energy drinks, coffee, kombucha, and CBD industries
- Represented a practice management services company in a minority equity investment in a digital eye care technologies company
- Represented start-up company in initial fundraising transactions. Continued representing company in subsequent financing transactions and ongoing corporate governance matters
