Seth Walker primarily represents private equity sponsors, independent sponsors, fundless sponsors, family offices, venture capital investors, SBICs, BDCs, banks, and privately held companies in a variety of their investment and finance transactions.


Seth’s practice focuses on evaluating, structuring, and negotiating mergers and acquisitions, divestitures, leveraged buyouts, minority and control equity investments, carve-outs, and cross-border transactions. Seth also has extensive experience representing and counseling privately held and emerging companies with drafting and negotiating commercial contracts, corporate governance, the formation and structure of business entities, incentive compensation, and other operational matters.

Representative Experience

  • Represented a private equity firm in a $170 million acquisition of a nationally recognized media and merchandising platform specializing in home goods
  • Represented a company owning several behavioral health provider agencies in series of add-on acquisitions ranging from $1.5 million to $15 million and in a subsequent $95 million sale to global investment management firm
  • Represented a family office in a $10 million carve-out of a digital asset management software business from a publicly-owned, multinational computer technology corporation and in a subsequent sale to a privately held provider of software and hardware products
  • Represented a search fund in a $17 million acquisition of a business engaged in supplying shrink-sleeved cans to craft beverage businesses across the beer, wine, spirits, energy drinks, coffee, kombucha, and CBD industries
  • Represented an insurance agent networking company in a series of add-on acquisitions ranging from $500,000 to $3.5 million
  • Represented a practice management services company in a $1 million minority equity investment in a digital eye care technologies company
  • Represented an investor in the formation and drafting of equity documents for a special purpose investment vehicle for a $5 million minority investment in a company specializing in geosocial networking services and mobile phone applications
  • Represented a business investment firm in a $26 million acquisition of a business engaged in providing managed IT services, including hosted cloud services, disaster recovery, virtual CIO, and security services. Continued representing the acquired business in ongoing corporate governance matters
