We regularly represent search funds and searchers in connection with all facets of their searches and acquisition transactions. Our group has extensive experience advising search fund clients as they navigate the purchase and sale of businesses, including buying and selling equity and assets, merger transactions, private and public company carve-out transactions, cross-border transactions, recapitalizations, [joint ventures] and other corporate restructurings. We understand the search fund model and the unique considerations that searchers and search fund transactions require, and provide our clients with strategic, practical guidance as they seek to minimize risks and realize business objectives.
We apply a full-service approach to search fund transactions. Our mergers and acquisitions experience includes structuring transactions, developing strategies and understanding “market” transaction terms in the specialty search fund market. In addition, we collaborate with attorneys throughout our firm to advise on a broad range of issues searchers and search funds encounter in their transactions, such as tax and structuring, corporate finance (including attorneys with specific knowledge of search fund equity finance and borrower side debt finance), environmental, intellectual property, labor and employment, antitrust, litigation and real estate issues. As part of Moore & Van Allen’s search fund team’s full-service offering, our Investment Management team regularly represents search funds with all aspects of structuring, documenting, offering, and operating their search funds.
We assist our clients from fund formation, to tax planning, pre-letter of intent planning and structuring through due diligence, negotiating and drafting definitive documentation, financing, closing, post-closing integration and succession, resolution of post-closing adjustments and other post-closing operational issues.
We also represent lenders, equity co-investors and other capital providers in connection with their investment activity in search fund transactions. We have deep experience representing both active and passive majority and minority equity investors in their financing of search fund led transactions.
