Overview
Our Joint Venture practice involves the multiple disciplines of state limited liability company law, taxation and other practice areas. Among other things, in the context of a divestiture, our attorneys have assist in planning the most tax favorable structures involved with the dissolution, winding up and liquidation of joint ventures (which have in recent years been in limited liability company format). Our limited liability company/joint venture practice is spearheaded by tax and corporate attorneys, many of whom are also Certified Public Accountants (with “big Four” experience) or who have earned an LLM degree in taxation. Recognizing the tax sensitivity of divestitures and transfers of interests, we are able to provide helpful planning opportunities to the equation.
