Our national practice advises licensed Small Business Investment Companies (“SBICs”) in their investment activities and counsels portfolio companies in their development.
We represent clients with investments across industries and at all stages of development, including early-stage, co-investments, growth, mezzanine, senior debt, unitranche, and buyouts. We are well-versed in structuring the transactions to comply with SBIC requirements and leading an efficient documentation process that is collaborative with the private equity owners and/or portfolio teams. Post-investment, we advise private equity owners and their portfolio companies on a broad array of ongoing corporate matters, including strategic alliances, technology licenses, incentive compensation plans, intellectual property matters, personnel matters, securities compliance, relationships with suppliers and customers, banking and other financial relationships, and creditor rights matters.
