Fund Formation

We advise domestic and international private investment fund sponsors and managers across private equity, venture capital, private credit, hedge fund and real estate asset classes, offering counsel from both a legal and commercial perspective. Our team supports fund sponsors and managers throughout the entire fund formation lifecycle, from legal and tax structuring to marketing, negotiating fund terms, drafting governing documentation, ensuring regulatory compliance, managing investment execution, and, where appliable, facilitating portfolio company exits through private sales and public offerings.

We also serve as outside general counsel to fund sponsors and managers and provide counsel on a wide range of operational matters, including: firm governance; succession planning; founder estate planning; labor and employment matters; platform expansion; and SEC investment adviser registration, regulation, and compliance.

Our fund formation practice is enhanced by our full-service platform.
